Board Meeting Minutes (August 26th, 2006)

The meeting was called to order at 2:30pm at 1607 Woodstream Ln.

Present

• Robert Butler - President
• Howard Fisher - Treasurer

Items discussed

• Howard emailed on the 22nd Got your phone message and from the cursory glimpses at MWC e-mail correspondence on board ship, agree that NMI isn't performing up to the standards we hoped for. […] holler when you want to get together.
• Yesika hadn't replied to the meeting RSVP, Rob called and she said she probably wasn't going to make the meeting due to a work scheduling conflict.
• Rob and Howard discussed the various issues that had come up during the last two months.
  • Rob drafted a response to Beverly's latest non-answer email concerning the June / July financial reports, but decided against sending it since it wasn't leading anywhere productive.
  • There have been continuing issues with response time and follow up that (no matter how many times we specifically and directly address and point out) are never resolved.
  • All of the problems that Beverly was dismissing as setup / startup times for our account should have been long-resolved as we're now six months into the contract.
  • On more than one occasion when we have requested information about our account we were sent reports for a different HOA.
  • There are enough continuing minor financial issues to call into question whether the entire account is lucid.
  • We have no insight into the trouble / homeowner calls NMI is handling, and given the complaints we've received from homeowners there is reason to question their responses.
  We agreed that terminating NMI's contract was in everyone's best interest.
• Reviewed NMI's contract, there is a 60-day termination notice, so the effective end date will be Oct 31st.
• Rob showed Howard a copy of the fake violation letter that a homeowner received, discussed.
• Howard sent a follow-up email after the meeting, Rob, Good meeting today. I think the Board is doing the right thing in terminating NMI.

Action Items

• Rob - Draft termination letter, send to Howard and Yesika for review. Done, updated, delivered to Beverly on 8/28.
• Rob - Incorporate NMI update into 3Q newsletter. Done, sent for review by Howard & Yesika. Updated.
• Rob - Print and mail 3Q newsletter. Printed, assembled, will drop in mail on Wednesday 9/6.
