For the Annual Meeting to be held on MONDAY, APRIL 16, 2007 at 8:00 p.m. at the Joe Farmer Rec Center. If you are unable to attend the Annual Meeting, please complete and return this proxy so that your vote will be counted.

IF YOU PREVIOUSLY SENT A PROXY FOR THE APRIL 2ND ANNUAL MEETING, IT IS NOT NECESSARY TO SEND ANOTHER.

I, being a Member in good standing per Section 5.2 of the HOA ByLaws, do hereby appoint as my proxy :

as the proxy of the undersigned, with power of substitution, to vote and otherwise represent my interests at the Annual Meeting of Members of the Villages at Maxwell Creek Homeowners Association Inc., and any adjournment thereof.

This proxy shall have the same authority to vote as if the undersigned were present and voting on the following matters :

1. To vote or otherwise represent the undersigned on any other business or other matters which may be presented at the meeting, or any adjournments thereof, according to the Members decision, or according to the decision of the majority of them.

THIS PROXY IS REVOCABLE AT ANY TIME PRIOR TO ITS EXERCISE.

EVEN IF YOU DO NOT EXPECT TO ATTEND THE MEETING, PLEASE SIGN, DATE, AND MAIL THE ENCLOSED PROXY PROMPTLY. A QUORUM MUST BE PRESENT AT THE MEETING, EITHER IN PERSON OR BY PROXY, IN ORDER TO CONDUCT ANY ASSOCIATION BUSINESS. IT IS IMPERITIVE THAT WE ESTABLISH QUORUM, TO AVOID FURTHER MEETING NOTICES AND ADDITIONAL ASSOCIATION EXPENSES.

It is important that you attend this meeting. However, if you are unable to attend, please complete and return the enclosed proxy. THE PROXY MUST BE RECEIVED NO LATER THAN 5:00 P.M. FRIDAY, APRIL 13TH, 2007.
